List Leader License Agreement

TITLE

Title, ownership rights, and intellectual property rights in the service ("Service") and documentation ("Documentation") shall remain in SendMeMore, LLC (hereafter, "SendMeMore") and/or its suppliers. The Service is protected by copyright laws and treaties.

DEFINITIONS

For the purposes of this License Agreement, the following terms shall have the following meanings:

• List Leader: The person or company using the Service to send messages to Subscribers.

• Subscriber: The person using the Service to receive messages from List Owners.

• Mailing List: A collection of Subscribers, each of whom has assented to receive messages from a List Leader.

GRANT

SendMeMore grants to you a non-exclusive license to use the accompanying Service and Documentation. As a user of this service you may:

• Create and manage one or more Mailing Lists.

• Send messages to Subscribers.

• Receive SendMeMore newsletters.

As the licensee of a SendMeMore License you may not:

• Modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service or parts of the Service.

• Rent, lease, grant a security interest in, or otherwise transfer rights to the Service.

• Remove any proprietary notices or labels on the Service.

• Use the Service to promote sites containing adult-oriented material, sites encouraging illegal activity or racism, or other sites the administrators, at their own discretion, deem to be inappropriate.

List Leader must provide all equipment necessary to establish a connection to the World Wide Web and pay any telecommunications service fees associated with such access.

ACCEPTANCE OF TERMS OF SERVICE

BY COMPLETING THE REGISTRATION PROCESS, YOU ARE INDICATING YOUR AGREEMENT TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF SENDMEMORE.

UPGRADES

SendMeMore reserves the right to update and upgrade the service including but not limited to user interface, demographic questions, procedures and documentation.

EMAIL ADDRESSES

SendMeMore agrees not to rent the email addresses of any List Leader or Subscriber to any third party.

SPONSORSHIP ANNOUNCEMENTS

SendMeMore reserves the right to include in each message sent through the Service one or more sponsorship announcements for a third party sponsor. Sponsorship announcements may appear anywhere within the List Leader's message and will be formatted in a manner similar to the following:

SendMeMore reserves the right to include in each message sent by the Service a notice similar to the following:

TERM AND TERMINATION

This license will terminate automatically if you fail to comply with the limitations described herein. SendMeMore has the right to terminate the license of any SendMeMore List Leader or Subscriber at any time.

LIMITED WARRANTY

SendMeMore does not warrant that your use of the Service will be uninterrupted, messages will be delivered, or that the operation of the Service will be error-free or secure.

SendMeMore is not responsible for Licensee's data residing on SendMeMore servers.

Licensee is responsible for all use of Licensee's account and confidentiality of Licensee's password and information.

LICENSEE EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT LICENSEE'S SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

SENDMEMORE MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; NOR DOES SENDMEMORE MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED.

THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY MADE BY SENDMEMORE. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.

Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. If any of the terms, provisions, covenants or conditions of this Agreement are held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remainder of the provisions shall remain in full force and effect and shall in no way be affected, impaired, or invalidated. This Agreement contains and constitutes the entire agreement among the parties and supersedes and cancels any prior agreements, representations, warranties, or communications, whether oral or written, among the parties relating to the service contemplated by this Agreement. Neither this Agreement nor any provision hereof may be changed, waived, discharged or terminated orally, but only by an agreement in writing signed by both parties.
